Terms of Service

Effective Date: December 1, 2024

Article 1 (Purpose)

These Terms govern the conditions and procedures for using the FanTalk service (hereinafter "Service") provided by UDID Inc. (hereinafter "Company"), and the rights, obligations, and responsibilities between the Company and its members.

Article 2 (Definitions)

  • ""Service" refers to the AI-based fan management platform provided by the Company, including Instagram comment management, DM auto-response, fan analytics, and more."
  • ""Member" refers to a person who has registered and entered into a service agreement."
  • ""Creator" refers to a member who uses the service by connecting their Instagram account."
  • ""Fan" refers to a user who leaves comments on or sends DMs to a creator's Instagram posts."

Article 3 (Effect and Modification of Terms)

  1. These Terms become effective when posted on the service screen or otherwise communicated to members.
  2. The Company may amend these Terms to the extent not in violation of applicable laws.
  3. When amending these Terms, the Company shall specify the effective date and reasons for the amendment and post them alongside the current Terms on the service homepage at least 7 days before the effective date.

Article 4 (Service Provision)

The Company provides the following services:

  • Instagram account integration and management
  • AI-based comment analysis and auto-response
  • DM management and AI auto-response
  • Fan data analysis and insights
  • Event management and fan participation features
  • Other services developed or provided through partnerships

Article 5 (Membership Registration)

  1. Membership is established when a user agrees to the Terms, applies for registration, and the Company approves it.
  2. The Company may refuse or subsequently terminate membership for the following applications:
    • Using false identity or another person's information
    • Providing false information or failing to provide required information
    • Other cases deemed to significantly impede service operations

Article 6 (Member Obligations)

Members shall not engage in the following activities:

  • Registering false information during sign-up or modification
  • Stealing another person's information
  • Altering information posted by the Company
  • Infringing on the Company's or third parties' intellectual property rights
  • Damaging the reputation of or interfering with the Company or third parties
  • Posting obscene, violent, or socially unacceptable content on the service
  • Using the service to engage in activities prohibited by law or these Terms

Article 7 (Company Obligations)

  1. The Company shall not engage in activities prohibited by applicable laws or these Terms, and shall make its best efforts to provide services continuously and stably.
  2. The Company shall maintain security systems for personal information protection and publish and comply with its Privacy Policy.
  3. The Company shall address legitimate opinions or complaints raised by members regarding service use.

Article 8 (Service Fees)

  1. The service is provided free of charge by default.
  2. The Company may provide paid services, and users must pay the specified fees to use paid services.
  3. The Company may charge paid service fees through methods determined by contracted electronic payment processors or by consolidating them into Company-issued bills.

Article 9 (Service Changes and Suspension)

  1. The Company may change the services being provided as operationally or technically necessary.
  2. The Company may restrict or suspend all or part of the service in the following cases:
    • Unavoidable circumstances due to maintenance of service equipment
    • Policy changes or failures in partner services such as Instagram
    • Force majeure events such as natural disasters or national emergencies

Article 10 (Termination and Usage Restrictions)

  1. Members may request termination of the service agreement at any time through the account deletion feature, and the Company shall process it in accordance with applicable laws.
  2. The Company may restrict service use or terminate the agreement if a member violates these Terms or disrupts normal service operations.

Article 11 (Disclaimer)

  1. The Company is exempt from service liability when unable to provide services due to force majeure or equivalent circumstances.
  2. The Company is not liable for service disruptions caused by the member's own fault.
  3. The Company is not liable for any expected revenue the member fails to obtain or loses through the service.
  4. The Company is not liable for the reliability, accuracy, or content of information posted by members.

Article 12 (Dispute Resolution)

  1. The Company operates a customer center to address legitimate opinions and complaints and to process damage relief.
  2. Disputes between the Company and members shall be governed by the laws of the Republic of Korea.
  3. Disputes between the Company and members shall be under the jurisdiction of the Seoul Central District Court.

Addendum

These Terms are effective from December 1, 2024.
